Terms of Service
These Terms of Service (“Agreement”) govern the access and use of the telecommunications platform, APIs, and services (the “Service”) provided by BynTxt (Bynefit Inc.) to you (“Tenant” or “Customer”).
Zero-Tolerance Anti-Spam Policy
BynTxt prohibits the transmission of unsolicited messages. You must have documented, express written consent for every recipient. Failure to comply results in immediate permanent termination and potential legal liability.
1. The BynTxt Platform Role
BynTxt acts as a Common Carrier-like platform. We provide the technical infrastructure to route SMS, MMS, and Voice communications to the Public Switched Telephone Network (PSTN). BynTxt does not author the content of any messages; the Tenant is the "Sender" of record for all legal and regulatory purposes.
2. Mandatory Compliance Standards
The Tenant represents and warrants that all use of the Service will comply with the following:

TCPA (Telephone Consumer Protection Act): You must obtain "Prior Express Written Consent" before sending automated or marketing messages.

CTIA Messaging Principles: You agree to follow the Best Practices for Peer-to-Peer (P2P) and Application-to-Person (A2P) messaging.

10DLC & TCR: You must register your Business Brand and Campaigns with The Campaign Registry (TCR) through our platform.
3. Prohibited Content (The "SHAFT" Rule)
To maintain network integrity, BynTxt strictly prohibits the transmission of content related to the following:
Sex, Hate, Alcohol, Firearms, Tobacco (including Vape/E-Cigarettes).
CBD, Marijuana, or any federally illegal narcotics.
Debt collection, payday loans, student loan forgiveness, or "get rich quick" schemes.
Deceptive links, social engineering, or impersonating institutions.
4. Consent & Opt-Out Requirements
4.1 Opt-In Requirements
You may only contact users via keyword (e.g., START) or documented web forms. You may NOT use purchased or rented lists.

BynTxt automatically manages the following. Circumvention is a breach of contract:
5. Fees, Billing, and Carrier Fines
Tenants are responsible for all subscription fees and per-message usage rates.
6. Termination of Service
BynTxt reserves the right to suspend any account, without refund, if:
- "Opt-Out Rate" exceeds 3% in a 24-hour period.
- "Delivery Failure Rate" exceeds 10%.
- Receipt of formal "Notice of Abuse" from carrier partners.
- Violation of the SHAFT content prohibitions.
7. Liability & Indemnity
BynTxt provides the service "As-Is." We are not liable for service interruptions. The Tenant agrees to indemnify and hold harmless Bynefit Inc. from any third-party claims, including TCPA class actions, arising from the Tenant’s use of the Service.
8. Dispute Resolution
Disputes shall be resolved through binding arbitration. This Agreement is governed by the laws of the State of Georgia.
